Terms of Service

1. Agreement

By creating an account or using Tradrux ("the Service"), you agree to these Terms of Service ("Terms") between you ("you" or "Customer") and Datastruk Software Solutions ("Datastruk," "we," "us," or "our"), a company based in Halifax, Nova Scotia, Canada.

If you are using Tradrux on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

Tradrux is a SaaS platform that processes email, voicemail, and user-entered communications using artificial intelligence to classify, summarise, and surface action items for small and medium-sized businesses.

We reserve the right to modify, suspend, or discontinue the Service or any feature at any time. We will provide reasonable notice of material changes where possible.

3. Accounts

You must provide accurate, complete information when creating an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly at support@tradrux.com if you suspect unauthorised access

You may not share your account with others or create accounts for the purpose of circumventing plan limits or trial restrictions. One free trial per person or business — trial abuse (including re-registering to obtain a second trial) is a violation of these Terms and may result in immediate termination.

4. Acceptable Use

You agree to use Tradrux only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to process communications you do not have the right to access or store
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Transmit malware, spam, or any content designed to damage or interfere with the Service
• Use the Service to harass, defraud, or harm others
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or sublicense the Service without our written permission
• Attempt to manipulate the AI triage system through prompt injection or similar techniques
• Use the Service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these rules without notice.

5. Your Content

5.1 Ownership

You retain ownership of all content you submit to Tradrux, including emails, voicemails, and notes ("Your Content").

5.2 Licence to Us

By submitting content to Tradrux, you grant Datastruk a limited, non-exclusive licence to store, process, and analyse Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models.

5.3 Third-Party Communications

You are solely responsible for ensuring that you have the legal right to forward and process communications from your customers, vendors, and other third parties through Tradrux. You represent and warrant that your use of the Service complies with all applicable laws regarding interception, storage, and processing of communications.

5.4 Content Responsibility

Datastruk does not review Your Content before it is processed. You are solely responsible for the content you submit and its legality.

6. Plans, Billing, and Payment

6.1 Plans

Tradrux offers subscription plans as described on our pricing page at tradrux.com. Plan limits (message credits, agent runs, users) are defined per plan and reset monthly on your billing date.

6.2 Free Trial

New accounts receive a 14-day free trial with access to the Basic plan features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. One free trial per person or business — trials may not be transferred or extended except at our sole discretion.

6.3 Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

6.4 Payment

Payments are processed by Stripe. By providing payment information, you authorise us to charge your payment method for your subscription and any applicable taxes. You are responsible for keeping your payment information current.

6.5 No Refunds

If you believe a charge was made in error, contact support@tradrux.com within 30 days of the charge.

6.6 Price Changes

We may change our pricing at any time. We will provide at least 30 days' notice of price increases to existing subscribers via email. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

6.7 Taxes

You are responsible for all applicable taxes associated with your use of the Service, except for taxes based on Datastruk's net income.

6.8 Past Due Accounts

If payment fails, your account will be placed in a past-due state and access to processing features will be suspended until payment is resolved. We may terminate accounts that remain past due for more than 30 days.

7. Cancellation

You may cancel your subscription at any time from your account settings or by contacting support@tradrux.com. Cancellation takes effect at the end of your current billing period — you will continue to have access to the Service until then. We do not provide refunds for the remaining portion of your billing period after cancellation.

Upon cancellation, your data will be retained for 30 days and then permanently deleted as described in our Privacy Policy.

8. Intellectual Property

All rights in the Tradrux platform, including software, design, trademarks, and documentation, are owned by Datastruk Software Solutions. Nothing in these Terms grants you any right to our intellectual property except the limited licence to use the Service as described herein.

9. Third-Party Services

Tradrux integrates with third-party services including Anthropic (Claude API), Resend, AssemblyAI, Neon, Vercel, Stripe, and DigitalOcean. Your use of the Service is subject to their respective terms of service. Datastruk is not responsible for the actions, content, or policies of any third-party service.

10. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated triage classifications, summaries, or action items will be accurate or complete
• The Service will meet your specific business requirements

You acknowledge that AI-generated outputs are probabilistic and may contain errors. You are solely responsible for any decisions you make based on AI outputs from Tradrux.

11. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Datastruk Software Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

13. Governing Law and Disputes

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service will be resolved exclusively in the courts of Nova Scotia, Canada. You consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Tradrux application at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must cancel your subscription and stop using the Service before the effective date.

15. General

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Datastruk regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.

No Agency. Nothing in these Terms creates any agency, partnership, or joint venture between you and Datastruk.
